Terms and Conditions of Use for FlipFolio

1. Acceptance of Terms

By downloading, installing, accessing, or using FlipFolio, you agree to be bound by these Terms and Conditions of Use and by any additional policies or guidelines that are incorporated by reference, including the FlipFolio Privacy Policy. If you do not agree to these terms, you must discontinue use of the application and related services.

2. Description of Service

FlipFolio is a vehicle portfolio and resale management platform intended to help users track acquisitions, vehicle records, expenses, partner activity, listings, settlements, attachments, and related operational information. FlipFolio may also provide notifications, reporting support, synchronization capabilities, and future cross-platform features.

3. Eligibility and Account Responsibility

You represent that you are legally capable of entering into these Terms. You are responsible for all activity that occurs through your account, device, and credentials. You agree to maintain the confidentiality of your device access, Apple account access, and any other credentials that may be used in connection with FlipFolio.

4. Acceptable Use

You agree to use FlipFolio only for lawful purposes and in a manner consistent with these Terms. You may not:

• use the service for unlawful, deceptive, fraudulent, or abusive activity;
• attempt to interfere with the app, website, syncing systems, or security controls;
• reverse engineer, scrape, probe, or exploit non-public portions of the service except as permitted by applicable law;
• upload malicious files, abusive content, or data designed to disrupt the platform or other users;
• misrepresent vehicle information, partner relationships, or financial data in a way that causes harm or fraud.

5. User-Submitted Data

You retain responsibility for the accuracy, legality, completeness, and appropriateness of the information you enter into FlipFolio, including vehicle details, financial records, notes, documents, attachments, and partner-related information. FlipFolio does not independently verify that user-submitted data is correct, complete, or compliant with law.

6. Vehicle, Pricing, and Financial Information

FlipFolio is an organizational and operational management tool. Any financial calculations, sold-vehicle summaries, ROI figures, settlement views, expense allocations, or partner balances are provided to assist your workflow, but they remain dependent on the underlying data entered by users. You are solely responsible for reviewing and validating the financial accuracy of your records before relying on them for business, tax, legal, or accounting decisions.

7. VIN, Title, Recall, and External Data Sources

FlipFolio may present VIN-related details, title-related indicators, recall-related information, salvage-related indicators, or other vehicle data sourced from public or third-party sources. Such information may be delayed, incomplete, unavailable, or inaccurate. FlipFolio does not guarantee the completeness, accuracy, or legal sufficiency of any vehicle-history-related result, and users should independently verify important information through appropriate official or commercial sources.

8. Partner Features and Shared Access

FlipFolio may allow users to connect with partners, share vehicles, approve listing access, and manage per-car permissions. If you use partner features, you are responsible for determining whether a partner should receive access and what information should be visible to that partner. Although FlipFolio provides permission controls, no collaboration system should be treated as a substitute for independent business judgment, confidentiality agreements, or professional discretion.

9. Account Security and Access Controls

You are responsible for maintaining the security of your device, your account, and any related credentials. You agree to notify FlipFolio promptly if you believe there has been unauthorized access, misuse, or compromise associated with your use of the service.

10. Availability and Service Changes

FlipFolio may update, modify, suspend, or discontinue portions of the app, website, or related services at any time. Features may be introduced, revised, delayed, or removed. Access may also be interrupted for maintenance, technical issues, third-party service interruptions, infrastructure problems, or security-related reasons.

11. Beta and Experimental Features

Certain features may be labeled or understood as beta, preview, experimental, or coming soon. Such features may be incomplete, unstable, or subject to material change. FlipFolio makes no guarantee that beta or experimental features will operate as expected, remain available, or ultimately be released in a final form.

12. Intellectual Property

FlipFolio, including the app, website, branding, visual design, copy, software logic, release materials, and related content, is owned by or licensed to FlipFolio and is protected by applicable intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, modify, publish, sell, sublicense, or create derivative works from FlipFolio or any portion of it without prior written authorization.

13. Limited License

Subject to your compliance with these Terms, FlipFolio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the app and related services for your internal personal or business vehicle management purposes. This license does not transfer any ownership rights.

14. Prohibited Commercial Misuse

You may not resell, rent, lease, white-label, or exploit FlipFolio in a manner that competes with the service, exposes non-public infrastructure, or misuses the platform for unapproved commercial redistribution.

15. Data Storage and Synchronization

FlipFolio may store or synchronize certain data locally on your device, within iCloud or CloudKit associated with your Apple account, and through secure backend synchronization systems used to support app functionality and continuity. Availability of synced data may depend on Apple services, backend availability, network access, account state, and technical conditions outside FlipFolio’s control.

16. Notification Services

FlipFolio may provide in-app notifications, push notifications, and notification preference controls. Notification delivery depends on device permissions, operating system behavior, internet connectivity, third-party services, and infrastructure availability. FlipFolio does not guarantee that notifications will always be delivered, timely, or visible in every case.

17. No Professional Advice

FlipFolio does not provide legal, accounting, tax, insurance, regulatory, compliance, appraisal, or investment advice. Any information displayed in the app or on the website is for operational convenience only and should not be relied on as a substitute for advice from qualified professionals.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, FlipFolio is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, availability, accuracy, reliability, or quiet enjoyment. FlipFolio does not warrant that the service will be uninterrupted, error-free, secure, or free from data loss.

19. Limitation of Liability

To the maximum extent permitted by applicable law, FlipFolio and its owners, operators, affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, goodwill, revenue, business opportunity, data, or business interruption arising out of or related to your use of, or inability to use, the app, website, or related services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, FlipFolio’s aggregate liability for claims arising out of or related to the service shall not exceed the greater of the amount you paid, if any, for FlipFolio during the twelve months preceding the event giving rise to the claim, or fifty U.S. dollars (USD $50).

20. Indemnification

You agree to indemnify, defend, and hold harmless FlipFolio and its owners, operators, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the service, your breach of these Terms, your violation of law, your submitted data, or your interactions with partners or third parties through the service.

21. Suspension and Termination

FlipFolio may suspend, restrict, or terminate access to all or part of the service at any time, with or without notice, if it believes you have violated these Terms, created risk to the service, created risk to other users, or engaged in conduct that is unlawful, abusive, or harmful. You may discontinue use of FlipFolio at any time by removing the app and ceasing access.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction determined by the service operator, without regard to conflict of law principles, except where consumer protection law requires otherwise.

23. Changes to These Terms

FlipFolio may revise these Terms from time to time. Updated Terms may be reflected through the website, app, or related materials. Your continued use of FlipFolio after revised Terms become effective constitutes your acceptance of those updated Terms to the extent permitted by law.
